
Hindustan Unilever has announced a major restructuring of its Health and Wellbeing portfolio, confirming plans to acquire complete ownership of nutrition brand OZiva while divesting its minority stake in Nutritionalab Private. The move underscores the company’s strategy to concentrate resources on scalable, high-growth wellness brands.
Under the agreement, Hindustan Unilever will acquire the remaining 49 per cent stake in Zywie Ventures, the parent company of OZiva, for INR 824 crore, equivalent to about $66.6 million. This transaction will make OZiva a wholly owned subsidiary of HUL, following its initial entry into the brand with a 51 per cent stake acquisition in 2023.
Brandspur Banking News Desk reports that OZiva has recorded rapid expansion within India’s fast-growing nutrition and wellness segment, generating approximately Rs. 480 crore in revenue in 2025. The brand has grown at an estimated compound annual growth rate of 130 per cent over the last two years, driven by product portfolio expansion and enhanced market access through HUL’s nationwide distribution network.

In a separate transaction, Hindustan Unilever will sell its 19.8 per cent stake in Nutritionalab Private to USV Private for Rs. 307 crore, or roughly $24.8 million. The divestment aligns with HUL’s focus on simplifying its investment portfolio and prioritising fewer, higher-impact growth opportunities.
Commenting on the development, HUL Chief Executive Officer and Managing Director Priya Nair said the Health and Wellbeing category remains a key growth driver for the company, supported by increasing consumer demand for everyday wellness solutions. She noted that full ownership of OZiva will enable HUL to accelerate innovation, strengthen science-led offerings, and expand market penetration.
Both the acquisition of OZiva and the sale of the Nutritionalab stake are expected to be completed by March 2026, subject to customary regulatory and closing conditions.
