Implications of Tranche 1 Share Buyback Program by Dangote Cement

Buyback of tranche I – 0.5% (85,202,537) of all outstanding shares – will have a negligible impact on ’20E EPS. However, we estimate an improvement of c.11.1% to our 2021E EPS forecast, assuming management completes the full 10% buyback programme over the next 12 months.

This morning, Dangote Cement announced the resumption of its long-awaited share buyback scheme. According to the firm, the programme will be executed in tranches, with the first tranche commencing on December 30th and closing on the 31st or when the tranche size is complete. 

The market had anticipated an announcement through last week, which resulted in the 14.5% rally w/w. To our mind, it appears that the firm is ‘testing the waters’ and, given the discretionary nature of the exercise, may not eventually purchase shares if prevailing conditions are unsuitable. We note that shares purchased under the buyback programme will be held as treasury shares and may subsequently be cancelled.

According to our estimates, the tranche I buyback programme would have a negligible impact on our ’20E EPS forecast. However, looking further out and assuming that the 10% buyback is successfully completed, we estimate a positive potential improvement of around +11.1% to our ’21E EPS projection to NGN20.46 (see table below). We anticipate a similar impact on Dangote Cement share price under current conditions.

On a relative basis, DangCem’s shares are trading on a ’20f EV/EBITDA multiple of 8.4x for 8.6% EPS growth in ’21f. We have a Neutral rating on the stock.

NDIC set to liquidate 42 Microfinance Banks

The Central Bank of Nigeria (CBN) has closed 42 microfinance banks, according to the latest report from the Nigeria Deposit Insurance Corporation (NDIC).

Depositors, creditors, shareholders and the general public were advised to visit or contact the representatives of Director, Claims Resolution Department, NDIC at any of the locations below, in the report titled “Notice of closure of 42 microfinance banks” and published on the NDIC website on Friday.

“This is to inform the depositors, creditors, shareholders and the general public that the operating licences of the under listed 42 microfinance banks have been revoked by the Central Bank of Nigeria effective 12th November 2020.

“The Nigeria Deposit Insurance Corporation, the official liquidator of the banks whose licences were recently revoked, is in the process of closing the listed banks and pay their insured depositors.

“We, therefore, request that all depositors of these banks should visit the closed banks’ addresses and meet NDIC officials for the verification of their claims, commencing from Monday, 21st December 2020 till Thursday, 24th December 2020.”

A peek at the 9-month results for the period ended September 30, 2020

  • Profit before tax was N2.13 billion compared to N1.47 billion realised in the corresponding period of 2019, representing 44.4 per cent.

Jay Round, Production Worker at Halewood, decided to launch a ‘food bank takeover’ for Knowsley Food Bank after discovering it was in desperate need of essentials in the build-up to Christmas.

Colleagues converted one of the site’s People Centres, normally used for events and communications support, into a temporary food bank for two days.

The team at Halewood made a collective employee pledge to donate a minimum of 1,200 items – which they achieved within a few hours. In total, employees have donated more than 6,000 items in addition to cash donations which will help feed hundreds of local families in need.

December is always a busy time for us but this year we’ve had more and more people in need of our services. We were expecting to feed 11,000 people this year but in fact, due to Covid-19, it will be around 60,000 – which is why we were getting desperately low on essential food items.

These are hard times for everyone but it’s so heart-warming to see so many people come together from Jaguar Land Rover Halewood to support us again in our commitment.

In Solihull, employees have donated £3,000 to three food banks: Renewal Helping Hands in Solihull, Bethany Community Outreach and Sparkhill Foodbank in Birmingham. The money came from its employees’ charity fund, which will help towards 10,000 food and essential items.

The donation is part of Solihull’s employee pledge to donate £50,000 to good causes this year to celebrate 50 years of Range Rover.

Staff at Jaguar Land Rover’s EMC filled up an on-site donation point in support of two local food banks, the Elias Mattu Foundation and Excel Church Food Bank which both received a generous delivery of 248 food items in total.

In Whitley, employees donated items to The Trussell Trust in Coventry which will help towards feeding 80 families over the Christmas period.

Kogi Overtakes Lagos in Investment Flow in Q3 2020 – NIPC

Nigerian Investment Promotion Commission (NIPC) reports that US$3.95 billion was tracked as investment announcements for Q3 2020. This represents 57% less than the value tracked in the corresponding period in 2019 (US$9.29 billion). The drop in value can be attributed to the impact of COVID-19 and its global economic impact.  

The Commission publishes NIPC Intelligence Newsletter 6 days a week, and through it, a total of 13 projects across 8 states were tracked. 3 of the investment announcements were start-up enterprises in health care delivery, and information and communication technology (software development).

Kogi State received the largest share of the investments announced with US$1 billion, followed by Lagos State with US$239 million, Ogun State with US$75 million and Cross Rivers State with US$15 million.

On a sector basis, the top destinations were the transportation sector which received (66%), manufacturing (27%) while information and communication, and mining and quarrying received 3% and 2% respectively. Other sectors, agriculture, and human health and social services collectively accounted for the remaining 2%.

Dangote Cement to Commence Tranche 1 Share Buyback Program

Dangote Cement Plc (DCP) hereby announces the commencement of its share buy-back programme.

The Share Buy-Back Programme will be executed under the approval granted by the Company’s shareholders at the Extraordinary General Meeting of DCP which held on 21 January, 2020, within the framework provided under Rule 398 (3)(xiv) of the Securities and Exchange Commission’s (SEC) Rules and Regulations (as applicable) and in accordance with Rule 13.18 of the Rulebook of the Nigerian Stock Exchange (NSE).

Based on the aforementioned shareholders’ approval, the number of shares to be repurchased under the Share Buy-Back Programme will not exceed 10% of DCP’s issued capital.

The Programme will be effected in tranches, with Tranche I being executed by the
appointed stockbrokers on the Company’s behalf.

Relevant details of this Tranche I are set forth below:

The Company through its appointed Stockbrokers will at its discretion purchase DCP shares in the open market over the duration of Tranche I, subject to prevailing market conditions and under the current daily trading rules of The NSE.

DCP would however not be under any obligation whatsoever to purchase any or all of the DCP shares put on offer over the duration of Tranche I.

The shares being bought back by the Company under the Share Buy-Back Programme will be held as treasury shares, and may subsequently be cancelled. Execution of this Tranche I is not expected to have any material impact on the Company’s financial position.

Dangote Cement shareholders seeking to participate in Tranche I of the Share BuyBack Programme are hereby advised to contact their stockbrokers or any other independent professional adviser registered as a capital market operator by the SEC for further guidance on submission of trades on The NSE’s trading platform.

DCP will provide weekly updates on the progress of Tranche I of the Programme on its website over the duration of this tranche. The Company will continue to monitor the evolving business environment and market conditions, in making decisions on further tranches of the Share Buy-Back Programme.

The Nigerian Bureau of Statistics (NBS) said the average fare paid by commuters for bus journey within the city increased by 3.61% month-on-month and by 73.84% year-on-year to N333.86 in November 2020 from N322.22 in October 2020.
States with highest bus journey fare within city were Zamfara (N595.22), Bauchi (N510.65) and Nasarawa (N438.45) while States with lowest bus journey fare within city were Abia (N195.24), Borno (N213.21) and Kebbi (N220.30).

Nigeria: Transport fares continue to rise – NBS

A breakdown of the figures in the data released by the Nigerian Bureau of Statistics, NBS,  shows that the average fare paid by commuters for bus journey intercity increased by 1.39% month-on-month and by 36.38% year-on-year to N2,240.66 in November 2020 from N2,209.84 in October 2020.

States with highest bus journey fare intercity were Abuja FCT (N4,380.40), Lagos (N3,100.00) and Sokoto (N3,100.00) while States with lowest bus journey fare within city were Bayelsa (N1,500.10), Enugu (N1,597.10) and Bauchi (N1,642.12).

Average fare paid by air passengers for specified routes single journey increased by 0.13% month-on-month and by 18.47% year-on-year to N36,301.74 in November 2020 from N36,256.08 in October 2020.

States with highest air fare were Anambra/ Cross River (N38,500.00), Lagos (N38,400.00), Jigawa (N38,260.00) while States with the lowest airfare were Akwa Ibom (N32,500.00), Sokoto (N33,200.00), and Gombe (N34,550.00).

The Transport fare watch report for November 2020 covers the following categories namely bus journey within the city per drop constant route; bus journey intercity, state route, a charge per person; airfare charge for specified routes single journey; journey by motorcycle (Okada) per drop; and waterway passenger transport.

Average fare paid by commuters for journey by motorcycle per drop increased by 4.13% month-on-month and by 120.15% year-on-year to N276.38 in November 2020 from N265.41 in October 2020.

States with highest journey fare by motorcycle per drop were Niger (N1,520.46), Kogi (N390.15) and Taraba (N360.40) while states with lowest journey fare by motorcycle per drop were Adamawa (N75.99), Katsina (N110.40) and Kebbi (N140.28).

Average fare paid by passengers for water way passenger transport increased by 0.86% month-on-month and by 35.39% year-on-year to N756.84 in November 2020 from N750.42 in October 2020.

States with the highest fare by waterway passenger transport were Delta (N2,294.23), Bayelsa (N2,215.65) and Rivers (N2,185.10) while states with the lowest fare by water way passenger transport were Borno (N229.10), Gombe (N280.10) and Kebbi (N300.00).

Price of 1kg of Rice Increases by 23.46% YoY in November 2020 – NBS

The National Bureau of Statistics (NBS) says that the average price of 1 dozen of Agric eggs medium size increased year-on-year by 6.64% and month-on-month by 1.42% to N494.72 in November 2020 from N487.81 in October 2020.

The NBS disclosed this in a Selected Food Price Watch Data for November made available to Brand Spur Nigeria.

The bureau said that the average price of a piece of Agric eggs medium size (the price of one) increased year-on-year by 8.68% and month-on-month by 2.36% to N44.75 in November 2020 from N43.72 in October 2020.

The report stated that  The average price of 1kg of tomato increased year-on-year by 25.86% and month-on-month by 2.77% to N316.16 in November 2020 from N307.63 in October 2020.

According to the report, the average price of 1kg of rice (imported high quality sold loose) increased year-on-year by 23.46% and month-on-month by 3.71% to N549.98 in November 2020 from N530.32 in October 2020.

Similarly, the average price of 1kg of yam tuber increased year-on-year by 16.26% and decreased month on month by -2.72% to N236.25 in November 2020 from N242.87 in October 2020.

Notably, pressures on the food inflation sub-index are likely to continue in December due to festivities-related demand and supply shortages amid lingering insecurity, structural bottlenecks, and currency market volatilities.
