Can a WhatsApp message be considered a binding contract?

0

In the era of social media and instant messaging, the courts are constantly challenged to develop the common law to accommodate the ever-changing environment. Recently, the Supreme Court of Appeal (SCA) was asked to pronounce on whether a WhatsApp message, in which a man indicated he would pay each of his children R1 million if he won R20 million, gave rise to an enforceable contract.

It transpired that the appellant, Ntsieni Kgopana, actually won R20,814,582 in the National Lottery (Lotto). When questioned about his winnings by the respondent, who is the mother of one of the appellant’s seven children, the appellant denied that he had won the Lotto and sent her a WhatsApp message saying: “If I get 20m I can give all my children 1m and remain with 13m…”

When the respondent obtained proof that the appellant had, in fact, won the Lotto, she relied on the appellant’s WhatsApp message to claim payment of the R1 million for her minor child.

The High Court found that the WhatsApp message constituted a binding agreement and ordered the appellant to pay the amount owed to the mother of his child.

However, on 2 December 2019, the SCA overturned the High Court’s decision and held that the WhatsApp message did not contain an offer that could, on acceptance thereof, be converted into an enforceable agreement. In interpreting the message, the SCA held that the context strongly suggested that the appellant never intended to agree to part with a portion of his winnings and that the message simply relayed what the appellant could do in the hypothetical future event of him receiving R20 million.

Even though the SCA found in the present case that the WhatsApp message was not a binding contract, it does not mean that a WhatsApp message can never give rise to binding legal obligations.

As a general rule, there are no prescribed formalities for the conclusion of a contract. All that is required is an offer and an acceptance, and consequently, consensus between the contracting parties. It is also important to note that acceptance of an offer need not be expressed in words, as it can also be established by conduct, from which the inference of acceptance can logically be drawn.

Individuals must, therefore, exercise caution when negotiating or making offers online and via instant messaging as those expressions could create legally binding agreements.

Etiqa Insurance Launches Market-First Cancer Insurance with No Claim Discount

0

SINGAPORE – Media OutReach – 16 December 2019 – Etiqa Insurance has unveiled their latest offering of Cancer Insurance with No Claim Discount (NCD)
— a market-first feature among cancer protection plans in Singapore. This
Cancer Insurance offers full coverage and payout for all stages of cancer to
help customers and their families to meet financial needs as they occur.
Additionally, the policyholder shall receive 6% savings on their annual premium
upon policy renewal if no claims have been made in the previous policy term.

According to the Ministry of
Health records, cancer is the leading cause of death in Singapore, accounting
for nearly 30% of deaths every year. One in every four to five people in the
nation may develop cancer in their lifetime but it is noteworthy that a third
of all cancers[1] can be cured if they are detected and treated
early, and new cancer treatments has enabled people with advanced cancers to
live longer.

On the other hand, the 2017
Protection Gap Study released by the Life Insurance Association (LIA) revealed
that Singaporeans may be insufficiently prepared to cope with the medical
expenses should a critical illness like cancer occurs. Most conventional critical
illness plans cover a wide range of diseases, including cancer, but they might
not cover all stages of cancer.

“The risk of cancer increases
with age. With an ageing population in Singapore, Etiqa recognises the
increasing need for a comprehensive yet affordable cancer protection plan,
which can reduce financial worry and allow one to fully focus on recovery if
cancer is diagnosed. The NCD benefit in our Cancer Insurance is meant to
encourage customers to consistently
take charge of their protection needs,” said Sue Chi Kong, Chief
Executive Officer of Etiqa Insurance Pte. Ltd.

NCD benefit is commonly used
in motor insurance and increasingly in health insurance, to reward
policyholders for healthy behaviours. Cancer is unpredictable, but there are
modifiable lifestyle factors such as keeping a healthier diet and doing regular
exercises, which can reduce risk of cancer.

Etiqa’s new Cancer Insurance will pay out 100% of the sum
insured if the policyholder is diagnosed with cancer at any stage, and a death
benefit of S$5,000 in the event of the policyholder’s demise. The policy can be
purchased easily online with premium from as low as S$0.27[2] per
day. During this soft launch period, the first 100 customers shall also enjoy a
limited time offer of 25%
off
the annual premium[3].

Irish dairy company Ornua Foods launches Kerrygold Advantage in Nigeria

Ornua Foods, an Irish dairy firm having operations in Nigeria has unveiled a new product ‘Kerrygold Advantage’ in the market addition to the firm’s whole milk variety and the Kerrygold full cream milk already in the market.

The firm also markets butter, cheese, biscuits and Irish cream liquor, all produced with the finest fresh full-fat milk.

Managing Director Global Foods Division, Ornua, Roisin Hennerty, said that the new product launch is a bold step and a proof of the willingness of Ornua to invest in the economy of Nigeria, creating wealth and making jobs available for Nigerian citizens.

The MD said that over the last five years, Ornua had partnered Fareast Mercantile Company Limited to jointly own a multi-million-dollar packaging facility ― Eagle Industries International Concepts Limited ― with the capacity to employ and engage both directly and indirectly over 5,000 Nigerians.

Kerrygold Advantage will be distributed all over major cities in Nigeria and is already available in major wholesale market and supermarket within the reach of prospective consumers.

The product is available in 12kg sachet, 380g pouch, 400g tin, 850g pouch, 900g tin and 2.5kg tin.

Recently, the Dublin based company opened a €30 million (US$33.39m) cheese production facility in Ávila, Spain to greatly enhance Ornua’s pizza cheese-making capacity and capability while securing its position as a major global pizza cheese supplier.

The new facility has a capacity to produce 35,000 tonnes of mozzarella and pizza cheese, which the company plans to double in the next years.

It has been built on the former Ornua cheese manufacturing site, opening two years since that site was destroyed by a devastating fire.

The reopening of the Ávila facility also marked the creation of Ornua Ingredients Europe which brings Ornua’s Spanish and UK Ingredients businesses together. It will supply cheese and dairy powder ingredients.

In addition to that, it will feature an R&D Centre of Excellence with a pilot plant and innovation kitchen dedicated to developing the next generation of pizza cheese and cheese ingredients for the US$130 billion global pizza market.

Its technology will enable the company to provide a wide selection of mozzarella and mozzarella-based cheese blends.

It also features innovative Individual Quick-Freezing capability, an in-line cooling system and the latest technology to produce pizza cheese ropes for the growing ‘stuffed crust’ sector of the market.
